These terms are an agreement between you (the creator) and Krishan Singhal, a sole proprietor trading as "StarDM" (we, us), registered address SCO 113, New Grain Market, Shahbad, Haryana 136135.

They have three parts:

Part A: Creator Terms: joining, your profile, money, leaving.
Part B: Likeness & AI-Avatar Licence: what we may do with your name, image and style.
Part C: Voice Addendum: only if you separately sign it; covers cloning your voice.

You accept Parts A and B by signing the creator agreement (electronically or on paper) before your profile goes live. Part C needs its own separate signature. Our Privacy Policy and Community Guidelines also apply.

Part A: Creator Terms

A1. How joining works

Apply at trystardm.com/creator with your Instagram handle and email.
We review applications manually and may accept or decline at our discretion. We'll contact you if you're accepted.
Instagram verification: our team verifies that you control the account (for example with a code in your bio or a DM from the account). Verification is done by StarDM, not self-serve.
KYC: you give your legal name, PAN, and a bank account (with IFSC) or UPI ID, and your GSTIN if you have one. Our payout provider (RazorpayX) verifies your PAN and your account (a ₹1 test deposit or a UPI ID check). The account holder's name must match your PAN.
Persona: you answer an interview (about 30 questions) and write or approve sample replies. We draft your avatar's persona, test it, and you approve it before it goes live (see B4).
Sign this agreement (and the Voice Addendum if you want calls and voice notes).
Go live.

You must be at least 18, and you must be the person shown in the account (or authorised to act for them). You must have the right to every photo and piece of content you upload.

A2. Your profile

In the creator portal you manage: up to 8 photos (the first is the cover), display name, bio (300 characters), up to 3 categories, and whether you offer Pro.
Photos are yours and uploaded by you. StarDM never generates or edits images of you with AI. We only resize and compress them.
You confirm you own or have permission for every photo, and that photos don't show anyone who hasn't agreed, any minor, or anything sexual.
We may decline or remove content that breaks our Community Guidelines or the law.

A3. What you see, and what you don't

You see your profile and your earnings: subscriber counts (Basic and Pro), new/ended/upgraded counts, an 8-week chart, next payout, payout history.
You never see fans' messages, names, phone numbers or identities. This protects fans' privacy and you. Please don't ask fans to identify themselves to you or ask us for that data.

A4. Money

A4.1 Revenue share

You earn 40% of net revenue from subscriptions to your avatar.
Net revenue means what fans pay minus GST and minus the store or payment-gateway fees for that payment (for example Google's service fee and Razorpay's fees).
Example (illustrative, verify current fees): a ₹299 Basic week includes about ₹45.61 GST. If payment fees on that week are about ₹9, net revenue is about ₹244.39, and your share is about ₹97.76.
Refunds, chargebacks and reversals of a fan payment reduce net revenue for that payment, so they reduce your share too.
We may agree a different share with you in writing.

A4.2 Payouts

Each payment settles 7 days after it's received.
Payouts run every Monday for settled earnings (that is, earnings older than 7 days).
Minimum payout ₹500. Smaller balances roll over to the next Monday.
We pay to your verified bank account or UPI ID. Changing your payout account needs an emailed confirmation and pauses payouts for 48 hours.
Payouts start only after KYC is verified and this agreement is signed.

A4.3 Tax

TDS: we deduct tax at source as the Income-tax Act, 2025 requires (we expect section 393; the exact category and rate depend on how the payment is classified, and we'll confirm with our chartered accountant before the first payout). We issue TDS certificates as required.
GST: fan prices include 18% GST, which StarDM pays to the government. If you're GST-registered (or must be), you'll invoice us for your share with GST, and we'll pay the GST on top where applicable.
You're responsible for your own income tax and registrations.

A5. Deactivating and deleting

Deactivate (portal → Profile): your profile is hidden, new subscriptions and renewals pause, and current subscribers keep access until their paid week ends. It's reversible: reactivate and renewals can resume.
Delete (portal → Profile, type DELETE): removes your profile, photos and avatar (persona and, if any, your voice clone). All fan subscriptions to you end, and fans are refunded for their unused days. Your pending earnings are still paid on the normal schedule, after those refunds (see A4.1).
We keep the records the law requires (agreement, KYC, payout and tax records).

A6. Our obligations

Label your avatar as "AI avatar" everywhere fans see it, and AI voice as "AI voice".
Use your approved persona and our safety guardrails: no sexual content, no dating framing, no promises to meet, no sharing of contact details, no financial, medical or legal advice, and the avatar always says it's an AI if asked.
Moderate conversations, handle reports and act on harmful output quickly.
Tell you without delay about any serious incident involving your avatar.
Never sell your likeness or voice to anyone else.

A7. Your obligations

Give accurate information and keep your KYC up to date.
Don't tell fans the avatar is you typing, or that you read the chats.
Don't promote off-platform contact or payments to StarDM fans as StarDM fans.
Follow the law, including advertising rules for any promotion of StarDM on your own channels (for example disclosing that you earn from StarDM, under ASCI guidelines).

A8. Ending the agreement

You can end it anytime by deleting your profile (A5).
We can suspend or end it if you break these terms, the law, or our Community Guidelines, if your Instagram account is no longer yours, or if continuing would put fans or StarDM at legal risk. We'll give notice and reasons unless the law or safety prevents it.
On ending: the licence in Part B ends (B6), fans are refunded unused days, pending earnings are paid (less any amounts owed to us), and sections on payment, tax, confidentiality, liability and law survive.

A9. Liability

Each side's total liability under this agreement is limited to the creator share paid or payable in the [3 months] before the claim, except for breaches of Part B or C, fraud, or anything the law doesn't allow to be limited.
The avatar is AI and can make mistakes. We'll take reasonable steps to prevent harmful output and fix it quickly when reported.

A10. Law and disputes

Laws of India. Courts at [CITY]. We'll first try to resolve any dispute by talking in good faith for 30 days.

Part B: Likeness & AI-Avatar Licence

B1. What you licence

You give StarDM a non-exclusive, non-transferable, revocable (as set out in B6), royalty-bearing (through your revenue share) licence to use:

your name, display name and Instagram handle;
the photos and bio you upload;
your persona: the interview answers, sample replies and the approved persona describing your style, facts and boundaries;

only to run your AI avatar inside StarDM's service (the app, trystardm.com and the creator portal) and to promote your StarDM profile (for example your profile link, app-store screenshots or StarDM's own social posts), which we'll show you before use.

B2. What we won't do

Use your likeness or persona outside StarDM, or let anyone else use it.
Generate or edit images or video of you.
Use your name, persona or content to train general AI models for anyone else. (Your persona is sent to our AI provider only to generate replies; verify provider settings.)
Make the avatar say it is you, a human, or that you are typing.
Use your likeness for sexual, political or religious content, or for endorsements you haven't agreed to.

B3. The AI-avatar arrangement

Fans chat with an AI that writes replies in your style, based on the persona you approve.
Every fan-facing screen says it's an AI avatar made with you.
You understand that AI can produce unexpected replies. Our safety layers and your boundaries reduce this, and we'll correct problems quickly.

B4. Persona approval

Nothing goes live without your approval. We send you the persona and sample transcripts; you approve them.
You can ask for changes at any time (for example a new no-go topic). Material changes to the persona need your approval again. We keep every version.
Our own safety rules always override the persona.

B5. Ownership

You keep all rights in your name, image, photos and personal brand.
StarDM owns the software, prompts, safety systems and the structure of the persona document, but the persona's content about you can only be used for your avatar.

B6. Ending the licence

The licence ends when you delete your profile or the agreement ends.
Within [30 days] of that, we delete your photos, persona and avatar configuration from live systems (backups roll off within 30 days), except records the law requires us to keep.
Fan chat history with your avatar stays in the fan's account until they delete it, but no new replies are generated.

Part C: Voice Addendum

This addendum is a separate document and must be signed separately. It applies only if you sign it. Without it, your avatar has no voice: no audio calls and no voice notes, and Pro can't be offered.

C1. What you agree to

You allow StarDM to:

Record or receive about 30–60 minutes of clean audio of your voice (we'll give you a recording guide);
create a professional voice clone of your voice with our voice provider (ElevenLabs), which may include the provider's own voice-owner verification step;
use that clone only to speak your avatar's replies in StarDM audio calls and avatar voice notes, inside the StarDM app.

C2. Limits on use

In-app only. No use outside StarDM, in ads, for other products, or by anyone else.
Always labelled. Every call screen and every avatar voice note shows "AI avatar · AI voice". Every call opens with a spoken note that it's your AI avatar. Voice-note files carry metadata marking them as AI-generated, as the IT Rules (as amended Feb 2026) require for synthetic audio.
No training of other models on your recordings, and no sale or licensing of them.
The same persona and safety guardrails apply to voice as to chat. Calls are not recorded; only text transcripts are kept for 30 days for safety review.
Calls are limited to 30 minutes per fan per day.

C3. Storage and security

Your raw recordings and the clone are stored with the voice provider and in our secure storage, with access limited to the people who need it.
We record your signature and consent date with the voice record.

C4. Revoking

You can revoke this addendum at any time by writing to us (or through the portal when available).
Within [48 hours] of revocation we switch off your avatar's voice: calls and new voice notes stop.
Within [30 days] we delete the voice clone at the provider and delete your raw recordings, and confirm to you in writing.
Avatar voice notes already delivered to fans may stay in their chat history.

C5. What happens to Pro subscribers if voice is revoked or you leave

Pro depends on calls, so Pro can no longer be offered for your avatar.
Fans currently on Pro keep Basic features. they are moved to Basic at their next renewal, and refunded the prorated Pro-minus-Basic difference for unused days of the current week.
Your share of any such refund is deducted as in A4.1.

C6. On exit

If you delete your profile or the creator agreement ends, this addendum ends too, and C4 applies automatically: the clone is deleted.

C7. Payment for voice

There's no separate fee for the voice clone. Your compensation is your revenue share on Pro (and Basic) subscriptions.
